The meeting was called to order at 4:30 p.m. by Mayor Albanese at the Nederland City
Office Building, 207 N. 12th Street, Nederland, Texas. See attached for quorum.
The following statement was posted:

3. CONSENT AGENDA - All consent agenda items listed are considered to be routine by
the City Council and will be enacted by one motion. There will be no separate
discussion of these items unless a councilmember so requests, in which event the item
will be removed from the Consent Agenda and considered separately.

c. A motion was made by Mayor Pro Tern Sonnier and seconded by Councilmember

in the total amount of $1,715,853. MOTION CARRIED.

d. A motion was made by Councilmember Root and seconded by Councilmember
Guillot to approve Resolution No. 2024-06, scheduling public hearings on May 20,

proposed annexation of Energy Transfer's property (approximately 2.069 acres) as
requested by the property owner. MOTION CARRIED.

e. Employee Group Benefits:
The regular meeting was recessed at 4:39 p.m. by Mayor Albanese for the purpose
of conducting a City of Nederland Employees Benefits Trust meeting to award bids
for employee group benefits.
The regular meeting was reconvened at 4:52 p.m. by Mayor Albanese.
A motion was made by Councilmember Guillot and seconded by Mayor Pro Tern
Sonnier to authorize the transfer of funds from the City of Nederland to the City of
Nederland Employee Benefits Trust to pay for employee-related benefits.
MOTION CARRIED.

5. COMMUNICATION
City Manager's Report:
a. Miscellaneous:
• A Public Hearing will be held at the May 20, 2024 council meeting regarding a
'No Parking' sign at the intersection of 12th and Gary.
• Chris Duque thanked the city employees on their response to the storm on
Thursday morning. The City will be picking up green waste for another two
weeks.
• The chip seal project is in progress this month.

AN ORDINANCE OF THE CITY COUNCIL OF THE
CITY OF NEDERLAND, TEXAS AUTHORIZING
THE SETTLEMENT OF CENTERPOINT ENERGY
RESOURCES CORP., D/B/A CENTERPOINT
ENTERGY ENTEX AND CENTERPOINT ENERGY
TEXAS GAS' STATEMENT OF INTENT TO
INCREASE RATES IN THE HOUSTON, TEXAS
COAST, SOUTH TEXAS,AND BEAUMONT/EAST
TEXAS DIVISIONS, FILED ON OCTOBER 30,
2023; FINDING THAT THE MEETING
COMPLIES WITH THE OPEN MEETINGS ACT;
MAKING OTHER FINDINGS AND PROVISIONS
RELATED TO THE SUBJECT; AND DECLARING
AN EFFECTIVE DATE
WHEREAS, on or about October 30, 2023, CenterPoint Energy
Resources Corp. d/b/a CenterPoint Energy Entex and CenterPoint
Energy Texas Gas ("CenterPoint" or"Company") filed a Statement of
Intent with the City of Nederland ("City") and concurrently with the
Railroad Commission of Texas ("Railroad Commission") to increase gas
rates in the Houston, Texas Coast, South Texas, and Beaumont/East
Texas Division Service Areas by$37.4 million per year; and
WHEREAS, the Company revised its Statement of Intent on
December 19, 2023 and increased its requested revenue increase to
$38.8 million; and
WHEREAS, the City joined the Steering Committee of Cities to
intervene and participate in the Railroad Commission proceedings; and
WHEREAS, CenterPoint, Railroad Commission staff, and other
intervening parties including the Steering Committee of Cities
participated in settlement discussions to resolve all contested rate case
issues without litigation; and
WHEREAS, CenterPoint agreed to settle the rate request at an
overall rate increase of$5 million per year for the Houston,Texas Coast,
South Texas, and Beaumont/East Texas Divisions combined; and
WHEREAS, the agreed rate increase is expected to have no bill
impact on customers in the Beaumont/East Texas Division; and
WHEREAS,the Railroad Commission staff,the Lawton Law Firm,
and counsel for other city groups participating in these proceedings have
recommended approval of the Settlement terms as a reasonable
alternative to resolve all contested rate case issues without the need for
prolonged litigation.
NOW THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL
OF THE CITY OF NEDERLAND,TEXAS,THAT:
Section 1. The statement and findings set out in the preamble to
this ordinance are hereby in all things approved and
adopted.
Section 2. The City of Nederland hereby authorizes the
settlement of the CenterPoint rate case proceedings
at an overall rate increase level of$5 million per year.
Section 3. The meeting at which the ordinance was approved
was in all things conducted in strict compliance with
the Texas Open Meetings Act, Texas Government
Code, Chapter 551.
Section 4. This ordinance shall become effective from and after
its passage.

Status and Settlement Agreement
Dear Cities:
This letter is to update you on the status of CenterPoint's statement of intent to increase
rates in the Beaumont/East Texas Service Area, which also included a request to consolidate its
Houston, Texas Coast, South Texas, and Beaumont/East Texas Divisions into a single Texas
Division. Under the Company's original consolidation proposal, its Houston and Texas Coast
Divisions would have received a substantial rate increase while the Beaumont/East Texas and
South Texas Divisions would have received a rate decrease. The parties in the Railroad
Commission proceedings have reached a settlement agreement that greatly reduces the Company's
requested revenue increase and is expected to result in a more equitable bill impact for customers
statewide. We recommend that the Cities approve the proposed settlement agreement. We have
attached for your consideration a proposed ordinance authorizing the settlement. If your
City takes no action,we will assume your City is unopposed to the settlement.

The Company agreed to a revenue requirement increase of$5 million rather than the
original requested revenue requirement increase of$38.8 million. Other key components of the
proposed settlement include:
• No rate increase for customers in the Beaumont/East Texas Service Area. The
$5 million increase will be absorbed mainly by the Houston and Texas Coast
Divisions.
• No formal consolidation of service divisions.
• 9.8% rate of return on equity, as opposed to CenterPoint's requested 10.5%. In
addition to lowering base rates,this change will lessen the impact of future annual
GRIP adjustments.
• New rates go into effect in December 2024 rather than the current effective date of
June 25,,2024.
Table 1 below shows the expected bill impact on Beaumont/East Texas Division residential
customers with average usage of 34 Ccf, excluding gas cost:

As we balanced the costs and benefits of settlement versus continued litigation risk, we
evaluated the strength of CenterPoint's revenue increase request compared to the litigation issues
and proposed adjustments raised by the various city groups. Based on precedent, we expected
significant downward adjustments to the Company's request. This downward assessment is
supported by CenterPoint's agreement to settle for$5.0 million versus the requested$38.8 million
request. Any reductions to CenterPoint's $38.8 million revenue requirement request would also
decrease the Beaumont/East Texas Service Area's projected rate reduction such that the final
litigated result would be a probable no rate change for Beaumont and East Texas customers. In
other words,we believe the settlement agreement places Beaumont and East Texas customers in a
similar position to what the litigated result would have been.

Given the uncertainty of successfully litigating each issue and litigation cost, a settlement
of$5.0 million annual increase—that will not impact Beaumont/East Texas customers' rates—is
reasonable. The Company is not expected to file another base rate case until 2029, so the agreed-
upon rates will stay in place for at least the next five years. In the interim, the only rate changes
expected to occur will be annual GRIP adjustments to the customer charge and adjustments for
changes in gas market commodity costs.
Given all of the above, I am recommending that Cities approve the proposed settlement
agreement as detailed above. This will ensure that the Beaumont/East Texas Service Area rates
remain unchanged from current rate levels. I have attached for your consideration an ordinance
authorizing the settlement. In terms of timeline, we are asking each City to make a final
decision at its next available meeting. If your City does not take action regarding the proposed
settlement,we will assume your City remains unopposed to the settlement.Please forward passed

PROPOSED ANNEXATION OF CERTAIN PROPERTY
BY THE CITY OF NEDERLAND, TEXAS, AND
AUTHORIZING , AND DIRECTING THE CITY
MANAGER TO PUBLISH NOTICE OF SUCH PUBLIC
HEARING
WHEREAS,the Texas Local Government Code and Section 1.04 of the
Home Rule Charter of they City of Nederland,Texas, authorize the annexation
of property,subject to the laws of this State; and
WHEREAS,the procedures prescribed by the Texas Local Government
Code and the Home Rule Charter of the City of Nederland,Texas,and the laws
of this State have been duly followed with respect to the following described
territory,to wit:

Council chamber of City Hall of the City of Nederland,
Texas and on the 10th day of June, 2024 at 4:30PM in the

Texas, the City Council will hold a public hearing giving
all interested persons the right to appear and be heard
on the proposed annexation by the City of Nederland,
Texas of the following described property to-wit:

Energy Transfer's property
Dear Mr. Duque,
As you are aware, Energy Transfer ("ET") and the City have been working together on the
relocation of the City's green waste site. ET has offered to sell the City a 2.069 acre parcel on
its property for the relocation. To facilitate the sale of the acreage to the City, ET is submitting

herewith a petition of voluntary annexation to the City for the acreage.
Additionally, because the 2.069 acre parcel is not bounded by a public road, ET is providing
0.282 acres of permanent access through its property off Helena Ave. and is submitting

successors and assigns are collectively referred to as the"Grantee"),the right,privilege,and easement to repair,improve,maintain and
traversean access road(the"Access Road"),located within a thirty foot(30')wide road easement as described and depicted in Exhibits
"A"and"B"attached hereto and made a part hereof("the Easement").
It is further agreed as follows:
1. Ingress and Egress. In addition to the Access Road,Grantee shall have the right of ingress,egress,entry,and access in,to,
through,on,over,under,and across the Easement and where same intersects any public road or public right-of-way or other easement
or fee owned property to which Grantee has the right to access. Grantee shall promptly repair any damage to the Access Road caused
by Grantee in the exercise of any rights granted,to a condition as good as existed prior to use by Grantee.
2.Non-Exclusive. The Easement conveyed hereunder is non-exclusive.
3.Damages. The initial consideration paid by Grantee for the granting of this Agreement includes the market value of the
Easement and including without limitation any and all(i)damages to the lands burdened by the Easement,(ii)damages to the remaining
property,if any,as a result of the granting of this Agreement and imposition of the Easement under this Agreement,including any
diminution in value,if any,to Grantor's lands. The initial consideration paid for this Agreement does not cover or include:(1)physical
damages,if any,which may accrue from time to time to Grantor's other lands outside the Easement,and(2)any physical damages
arising to the lands covered by the Easement, due to the repair,maintenance or inspection of the Access Road,but not routine
maintenance. Grantee,in addition to paying the initial consideration for the granting of this Agreement,will separately pay you for
items(1)and,or(2)in the preceding sentence,as such physical damages,if any,may accrue,if and when such claims arise.
4.Removal,Cutting,Use,Repair,and Replacement of Gates and Fences. Each entry and exit gate shall be securely closed
and locked,except when Grantee or its authorized personnel are actually passing through same,and Grantor and Granteeshall each be
entitled to maintain their own lock in any such gate,such that Grantor and Grantee shall each have the right of free passage through any
such gates. If Grantee fails to restore any fences or gates disturbed by Grantee to the same or better grade and condition as existed
before Grantee disturbed same,Grantee,in addition to the consideration paid for this Agreement,shall pay Grantor the reasonable costs
to restore any such fences or gates to the same or better grade and condition as existed before Grantee disturbed same.
5.Use Limitations. Grantee shall use the Easement solely for the purposes specified in this Agreement and shall not use the
Easement hereunder granted for any use other than a use expressly stated in this Agreement without the express written consent of
Grantor. There shall be no hunting or fishing on the Easement or any of Grantor's lands by Grantee or its officers,agents,employees,
contractors,invitees,guests,or representatives at any time.No firearms or fishing equipment shall be taken on the Easements by Grantee
or its officers,agents,employees,contractors,invitees,guests,or representatives at any time.
6.Indemnity. TO THE EXTENT ALLOWED UNDER LAW,GRANTEE SHALL DEFEND WITH COUNSEL OF
GRANTEE'S CHOICE, INDEMNIFY, PROTECT, AND HOLD HARMLESS GRANTOR, GRANTOR'S HEIRS,
SUCCESSORS,ASSIGNS AND RELATED OR AFFILIATED ENTITIES(THE"INDEMNIFIED PARTIES"),FROM ANY
AND ALL LIENS,CLAIMS,DEMANDS,COSTS(INCLUDING BUT NOT LIMITED TO REASONABLE ATTORNEYS'
FEES),EXPENSES,DAMAGES,LOSSES,AND CAUSES OF ACTION FOR DAMAGES ASSERTED BY PERSONS OR
ENTITIES UNAFFILIATED WITH THE INDEMNIFIED PARTIES BECAUSE OF INJURY TO PERSONS(INCLUDING
DEATH)AND INJURY OR DAMAGE TO OR LOSS OF ANY PROPERTY OR IMPROVEMENTS CAUSED BY OR
ARISING OUT OF GRANTEE'S USE,MAINTENANCE,IMPROVEMENT OR REPAIR OF THE ACCESS ROAD.
7.Third Party Access. Grantee shall not grant to any third party access to the Easement and lands covered thereby for any
purpose that is not related to the rights herein conveyed.
8.Counterparts. This Agreement may be executed in several counterparts,each of which shall be an original of this Agreement
but all of which,when delivered and taken together,shall constitute one and the same Agreement and be binding upon the parties who
executed any counterpart,regardless of whether it is executed by all parties named herein.
9.Assignability. Grantee shall not assign this Easement without the written consent of Grantor,which consent will not be
unreasonably withheld,conditioned or delayed;provided that no such consent is required for any assignment to an affiliate or to a
successor through merger or consolidation.

10.Heirs and Assigns. This Agreement and all of its terms,provisions,and obligations shall be covenants running with the
land affected thereby and shall inure to the benefit of and be binding upon Grantor and Grantee and their respective heirs,executors,
administrators,successors,and assigns.
11. Insurance. Grantee shall maintain at all times while Grantee uses the Easement, including during construction and
operations on the Easement, commercial liability insurance or self-insurance: (i)issued by an insurer authorized to issue liability
insurance in this state,if maintaining commercial liability insurance;and(ii)insuring Grantor against liability for personal injuries and
property damage sustained by any person to the extent caused by the negligence of Grantee or Grantee's agents or contractors and to
the extent allowed by law.
12.Integration Clause. This Agreement constitutes the entire agreement and supersedes any and all prior oral understandings
and agreements,if any,conceming the subject of this Agreement. Grantor confirms and agrees that Grantor has been made no promise
or agreement by Grantee or any agent of Grantee(which is not expressed or referenced specifically within this Agreement)in executing
this Agreement,that Grantor is not relying upon any statement or representation of Grantee or any agent of Grantee and that Grantor's
execution of this Agreement is free and voluntary. This Agreement may not be modified or amended except on or after the date hereof
except by a writing signed by the party against whom said modification or amendment is to be enforced and no party shall be liable or
bound to any other party in any manner except as specifically set forth herein.
TO HAVE AND TO HOLD unto Grantee,its successors and assigns,so long as such Access Road Easement shall be used and
maintained.
