NEDERLAND CITY COUNCIL
AGENDA
NOTICE is hereby given of a regular meeting of the Nederland City Council to be held Monday,
December 15, 2025, 5:30 p.m., at the Nederland City Hall, 207 North 12th Street, Nederland,
Texas, for the purpose of considering the following agenda items. The City Council reserves the
right to retire into Executive Session concerning any of the agenda items whenever it is
considered necessary and legally justified pursuant to Texas Government Code, Chapter 551.
Members of the public can participate remotely via Zoom Teleconferencing. Citizens may join
the Zoom Meeting by clicking on the Virtual Council Meeting https link on the City of
Nederland’s website or calling the Zoom Call in Number and entering the Meeting ID# on the
City of Nederland’s website.
The City of Nederland's Council meeting will be live on the city's Facebook page
(https://www.facebook.com/CityofNederlandTX) and the city's YouTube Channel
(https://www.youtube.com/@CityofNederlandTX).
PUBLIC COMMENT ON AGENDA ITEMS. Citizens may provide comments regarding the
items listed on the Consent or Regular Agenda. Citizens will address the City Council from the
podium after providing their name and address. Comments shall not exceed three minutes.

6. EXECUTIVE SESSION (No Public Discussion on These Items)
The City Council will announce that it will go into Executive Session, pursuant to Chapter
551 of the Texas Government Code, to discuss matters as specifically listed on the agenda,
or as authorized by law.
Personnel Matters, pursuant to Section 551.074 of the Texas Government Code, to
deliberate the appointment, employment, evaluation, reassignment, duties, discipline
or dismissal of a public officer or employee.
Consultation with Attorney, pursuant to Section 551.071 of the Texas Government
Code, regarding pending or contemplated litigation, a settlement offer, and/or on a
matter in which the duty of the attorney to the City Council under the Texas
Disciplinary Rules of Professional Conduct of the State Bar of Texas clearly conflicts
with Chapter 551 of the Texas Government Code.
7. RECONVENE
Reconvene into regular session and discuss and take action, if any, on items discussed in
Executive Session.

ITEM 4. CONSENT AGENDA
All consent agenda items listed are considered to be routine by the City Council and will be
enacted by one motion. There will be no separate discussion of the items unless a
councilmember so requests, in which event the item will be removed from the Consent agenda
and considered separately. I would recommend acceptance of all the below-listed items.
a. Attached are the minutes of the December 8, 2025 regular meeting.
b. Attached are the November 2025 Departmental Reports for your review.
c. The 2025-26 total adjusted tax levy is $8,656,035.80 and the amount of collections as of
November 30, 2025 is $721,921.81 which represents 8.34% of the total tax levy. The
2025-2026 current year adjusted tax levy is $8,171,280.55 and the amount of collections
as of November 30, 2025 is $721,919.79 which represents 8.83% of the current year tax
levy. In comparison to prior year, the amount of property tax collected as of November
30, 2024 was $684,860.66 which represented 8.63% of the total tax levy and $658,432.54
of the current tax levy which represented 8.83%. I recommend acceptance of the
November 2025 Tax Collection Report.

REGULAR MEETING OF THE CITY COUNCIL OF

5:30 p.m. December 8, 2025
1. MEETING
The meeting was called to order at 5:30 p.m. by Mayor Darby at the Nederland City Office
Building, 207 N. 12th Street, Nederland, Texas. See attached for quorum.
The following statement was posted:

2. INVOCATION AND PLEDGES OF ALLEGIANCE
The invocation and Pledges of Allegiance were led by Councilmember Sonnier.
3. CITIZEN COMMENTS
Chief Rod Carroll provided an update on a recent aggravated kidnapping case that
demonstrated the effectiveness of the city's real-time crime center and Flock camera
system. Carroll detailed the timeline of events and explained how technology assisted in
the rapid resolution. The case was resolved within approximately one hour and ten
minutes, with the child recovered safely, the vehicle located, and the suspect in custody.
The Chief emphasized the importance of technology in modern policing.
Mayor Darby provided an update on the November 18th visit from a delegation from the
Netherlands, including the deputy mayor from Rotterdam. The meeting was greatly
delayed due to travel issues. Despite the delay, the meeting was successful, with
discussions about similarities between the ports and industrial facilities of both regions.

of these items unless a councilmember so requests, in which event the item will be
removed from the Consent Agenda and considered separately.
A motion was made by Councilmember Duplant and seconded by Councilmember Sonnier
to approve the Consent Agenda Item “a” as presented. MOTION CARRIED.

5. REGULAR AGENDA
NEW BUSINESS
a. Mayor Darby presented a proclamation recognizing Cheryl Dowden for her service as
Interim City Manager. Interim City Manager Bruce Mills added his appreciation for the
transition assistance.
b. Kay DeCuir, Nederland EDC Executive Director, presented a comprehensive update on
current projects and achievements. Ms. DeCuir reported significant growth in sales tax
revenue.
Key accomplishments included:
• 19 new businesses brought to Nederland in fiscal year 2024-25
• $348,364.19 awarded to local small businesses in business incentives
• $20,000 grant awarded for job creation from North Texas Community
Economic Development Center
• Fifth year of fall concerts with 100% sponsorship coverage
• 10th annual fall market with approximately 125 vendors
The EDC has approximately $7 million in diversified funds, with specific allocations
including $500,000 restricted for business incentives annually and $750,000 for disaster
recovery.
c. Kay DeCuir Nederland EDC Executive Director, discussed the partnership between
Nederland EDC, Workforce Solutions Southeast Texas, and Associated Builders and
Contractors of Southeast Texas (ABC SETX) regarding a $75,000 matching funds
commitment for heavy equipment training simulators.
Shandy from ABC SETX stated there will be an annual student total of 16 individuals
to be trained. The students would receive NCCER credentials which is nationally
accredited.
Mark Duran, Deputy Director for Workforce Solutions Southeast Texas, provided
employment data, stating Southeast Texas has 1,542 that are currently employed in this
occupation. The program would provide the City of Nederland with four years of free
heavy equipment training and add three additional scholarships for Nederland ISD
graduates.
d. A motion was made by Councilmember Duplant and seconded by Councilmember
Sonnier to approve payment of $50,000 to Samaritan Counseling Center of Southeast
Texas for the Nederland High School wellness Screening Program from the city’s
general fund. MOTION CARRIED. AYES: Mayor Darby, Councilmembers Duplant, Jones, Sonnier, and Ortiz.

Interim City Manager Mills explained this was for services already rendered. Robin
McCutcheon, President CEO of Samaritan Counseling Center, clarified the scope of
services, stating this program provides mental health services for the school district.
Dr. Stephen Beagle, Nederland ISD Superintendent, stated this is another layer of
support for our students and has been a tremendous asset to them.
e. Steve Jordan from Schaumburg and Polk provided an update on the smoke testing
project. The scope included testing 414,000 linear feet of sewer lines and inspecting
1,414 manholes, resulting in 2,455 defects found - 872 on the municipal side and 1,583
on private service connections. Jordan stated the report should be completed in April.
The city will be reviewing a project which will include an interactive GIS mapping
system where users can click on manholes and leaks to view detailed information and
photographs.
f. A motion was made by Councilmember Sonnier and seconded by Councilmember
Jones to amend Ord. 107 – installation of stop signs at intersections. MOTION
CARRIED.

NOES: None.
g. Police Chief Rod Carroll recommended postponing Item 5.g regarding Resolution
2025-21, authorizing the Nederland Police Department to participate in a Mutual-Aid
Agreement with the City of Groves and City of Port Neches until January 12, 2026 due
to the pending approval by City of Port Neches. The item was moved to the January 12,
2026 agenda without objection.
h. A motion was made by Councilmember Jones and seconded by Mayor Pro Tem Ortiz to
approve Ord. No. 2025-24, authorizing the settlement of Texas Gas Service Company.
MOTION CARRIED.

i. A motion was made by Councilmember Sonnier and seconded by Councilmember
Duplant to approve the purchase of Hydra Stop insertion valves from JZ Southern Boys
Services in the total overall cost of $47,500 for Public Works Department. MOTION
CARRIED.

j. A motion was made by Councilmember Jones and seconded by Mayor Pro Tem Ortiz to
approve the purchase of excavator, trailer and 2024 Caterpillar double wheel roller in
the amount of $132,000 for Public Works Department. MOTION CARRIED. AYES: Mayor Darby, Councilmembers Duplant, Jones, Sonnier, and Ortiz.

k. A motion was made by Councilmember Sonnier and seconded by Mayor Pro Tem Ortiz
to approve an amendment to the contract with Griffith, Mosely, Johnson & Associates
for grant administration services for Hurricane Harvey grant funds and final payment of
$13,627.66. MOTION CARRIED.

NOES: None.
Interim City Manager Bruce Mills stated the contract has been amended to include some
additional funding for the completed grant administration use provided for the street
improvement project. The initial contract amount was $248,528.66 which has been
amended to $254,528.66 for an increase of $6,000. Vivian Ballou from GMJ explained
the additional $6,000 was required by GLO to do the street improvement projects and
included an environmental re-evaluation.
6. EXECUTIVE SESSION
The regular meeting was recessed at 7:05 p.m. by Mayor Darby for the purpose of
conducting an Executive Session as authorized by Texas Government Code, Consultation
with Attorney, pursuant to Section 551.071 of the Texas Government Code, regarding

of the attorney to the City Council under the Texas Disciplinary Rules of Professional

8. A motion was made by Councilmember Sonnier and seconded by Councilmember Jones to
employ Clear Career Professionals as the search firm for City Manager, pending legal
review. MOTION CARRIED. AYES: Mayor Darby, Councilmembers Duplant, Jones, Sonnier, and Ortiz.

November 2025 Departmental Report – Parks and Recreation
The Nederland Recreation Center is operating with regular hours:
Monday – Thursday 8:30 am – 8:00pm, Friday 8:30am – 5:00pm, & Saturday 10:00am – 5:00pm.
Pickleball schedule is Tuesday, Thursday & Saturday from 10am-1pm. Wednesday evenings from 5pm-6pm for family/beginner play
and 6pm-8pm for competition play.
The Nederland Recreation building was closed on November 7th-10th for floor maintenance.
The Little Dribblers used the gym Tuesday and Thursday from 5:30pm-8pm each week with 15 hours gym usage.
The Parks & Rec dept hosted a Veterans Day Celebration on November 11th at Nederland Veterans Park with 50 people attending.
The Parks & Rec dept. partnered with the library for “Meet me at the Park” on November 18th with 4 kids and 2 adults attending.
The Parks & Rec dept went to C.O Wilson and Central Middle school for “Career Day” on November 10th and November 18th.
There is no PAB meeting for the month of November it is held quarterly.

October 24th. Thirty-three external applications were received. Sixteen applicants were invited for the written test but
only ten were tested. Eight applicants passed the written test and were interviewed. Four were selected for
investigative backgrounds.

WORK INJURIES / SAFETY INSURANCE
▪ On November 9, 2025 a firefighter encountered a rat which bit his left index finger. Employee was sent to the
Medical Center for treatment. Employee was released.
▪ On November 26, 2025 a heavy equipment operator stated he has been having issues with an injury that occurred 5-7
years ago. Employee went to Occupational Medical for evaluation and was released to full duty. Employee is to be
scheduled for further evaluation.

INCIDENTS
▪On November 20, 2025 an intoxicated driver struck a parked patrol vehicle while the officer was assisting another
police department with the stop. No damage to the patrol vehicle.

5. REGULAR AGENDA
NEW BUSINESS
a. This agenda item was first read on the December 8, 2025 agenda. This will be the second
required reading. On November 19, 2025, the Nederland Economic Development
Corporation (NEDC) Board approved a $75,000 matching-funds commitment to support
Workforce Solutions Southeast Texas and Associated Builders and Contractors of
Southeast Texas (ABC SETX) in their application for the High Demand Job Training
Grant through the Texas Workforce Commission. If the grant is awarded, NEDC,
Workforce Solutions Southeast Texas, and ABC SETX will enter into a Memorandum of
Understanding outlining their respective roles and responsibilities.
b. Attached is a proposal from Community Development Specialists, LLC, for grant
research services. CDS will provide the City of Nederland with ongoing, comprehensive
grant research, prioritize funding opportunities, and strategic guidance to maximize the
City’s competitiveness for upcoming funding cycles. These services will provide a much
needed service to the City, as we currently do not have staff dedicated to grant research.
The initial term of the contract is twelve months, and may be extended annually upon
mutual written agreement. Grant writing is not included under this agreement but may be
added under a separate contract. I recommend approval of the agreement with
Community Development Specialists, LLC, for grant research services.
c. Attached is proposed Ordinance 2025-25, Budget Amendment for grant funds awarded to
the City for the Energy Efficiency Conservation Block Grant (EECDBG). These funds
were awarded to the City to cover the purchase of LED lighting for the Recreation
Center. The Parks department also received donations from Philips 66 and Golden
Triangle Emergency for Christmas on the Avenue. These amendments will include a
budget for the grant revenue and the expenditure. I recommend approval of the budget
amendment.
d. Attached is the City’s revised Purchasing Policy. The City’s policy was last amended in
April 2019. Texas has recently changed its competitive bidding thresholds for local
government purchases, raising the amount that triggers mandatory bidding from $50,000
to $100,000 as of September 1, 2025. These changes are governed under the legislation
of Senate Bill 1173 (SB1173). The change is intended to provide more flexibility and
streamline processes for cities, counties, and other political subdivisions due to inflation
and rising costs. Additionally, the threshold for requiring contact with historically
underutilized businesses (HUBs) has been raised from the $3,000-$50,000 range to the
$3,000-$100,000 range. The revisions in the City’s policy reflect changes lined out in
SB1173, as well as increased approval limits, and better oversight of technology related
purchases, which will make the procurement process streamlined and more efficient, as
well as ensuring better communication across the departments involved throughout the
procurement process. I recommend approval of the revised City of Nederland
Purchasing Policy.
e. Attached is the draft Joint Election Agreement and Election Services Contract Between
Jefferson County, Texas and City of Nederland for the upcoming May 2026 election.
The estimated election costs will be determined after February 13, 2026 and are
contingent upon the number of entities involved in the election. The estimated costs
pertaining to contracting with the County were discussed and approved in the budget
work session held on July 23, 2025.
f. The City will be having a compensation study performed. Approval of this item will
allow staff to negotiate and select a firm to conduct the study with a cost not to exceed
$48,500. The selected company will perform a complete study of the current job
descriptions and pay grades. We anticipate the study will begin in January.

AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF
NEDERLAND, TEXAS AMENDING THE FISCAL YEAR 2025-
2026 BUDGET IN ACCORDANCE WITH THE BUDGET AND
THE CHARTER OF THE CITY OF NEDERLAND.
WHEREAS, the City Council previously approved Ordinance No. 2025-16 which adopted
the Fiscal Year 2025-2026 City Budget; and,
WHEREAS, the City Council deems it necessary to amend the current budget to increase
expenditures as set out in Attachment “A” attached hereto; and,
WHEREAS, the 2025-2026 City budget states “That any unencumbered funds remaining
on hand at the end of the fiscal year ending September 30, 2025 shall be construed with and
classified with Miscellaneous revenue anticipated during the fiscal year beginning October 1,
2025 and ending September 30, 2026, and such funds are hereby appropriated as a City Council
Contingency Account for purposes approved by the City Council; and,
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF NEDERLAND,

PURCHASING POLICY
CITY OF NEDERLAND, TEXAS
December 15, 2025
I. PURPOSE
It is the policy of the City of Nederland to assure good control and coordination of city-
wide procurement, equitable treatment of vendors and service providers, and adherence
to federal, state, and local law applicable to municipal procurement. City employees
involved in the purchasing process shall become familiar with, and adhere to, the
guidelines set forth in this policy.
II. GOVERNING AUTHORITY
The primary governing authority for the City of Nederland’s Purchasing Policy shall be
the City’s Charter in conjunction with Local Government Code Chapter 252 Purchasing
and Contracting Authority of Municipalities. The Purchasing Policy shall be reviewed as
needed by the Finance department, City Manager, and City Council.
III. PURCHASING ETHICS
All City staff engaged in procurement for the City of Nederland shall comply with the following
ethical standards:
A. It shall be a breach of ethics to attempt to realize unauthorized personal gain through
employment with the City of Nederland or by any conduct inconsistent with the proper
discharge of the employee’s duties.
B. It shall be a breach of ethics to attempt to influence any public employee of the City of
Nederland to violate the standards of conduct set forth by the City.

C. It shall be a breach of ethics for any employee of the City of Nederland to participate
directly or indirectly in a procurement for the City of Nederland when the employee knows
that:
1. The employee or any member of the employee’s immediate family has a financial
interest pertaining to the procurement.
2. A business or organization in which the employee or any member of the employee’s
immediate family has a financial interest pertaining to the procurement.
3. Any other person, business or organization with which the employee or any member
of the employee’s immediate family is negotiating or has an arrangement concerning
prospective employment is involved in the procurement.
4. The employee or any member of the employee’s family has borrowed or lent money
to any supplier.
D. City employees shall spend City funds in an ethical way that avoids any appearance of
impropriety. If an employee has a family relationship with a vendor, the employee should
not make the choice to use the vendor without contacting the City Manager.
E. It shall be a breach of ethics to offer, give, or agree to give any employee or former
employee of the City of Nederland , or for any employee or former employee of the City
of Nederland to solicit, demand, accept or agree to accept from another person, a gratuity
or an offer of employment in connection with any decision, regarding a procurement or
influencing the content of any specification or procurement standard.
F. The prohibition against gratuities and kickbacks prescribed above shall be conspicuously
set forth in every procurement contract and solicitation. Certain kinds of conduct such as
offering gifts, gratuities, or discounts to city employees to influence their decisions in the
purchasing process are expressly prohibited. The city may reject a bid or cancel a contract
without liability if it is determined by the city that gratuities were offered or given by a
vendor or contractor, or an agent of the vendor or contractor, to any officer or employee of
the city with a view toward securing a contract or securing favorable treatment with respect
to the awarding or amending, or the making of any determinations with respect to the
performing of such a contract. In the event a contract is cancelled by the city pursuant to
this provision, the city will be entitled, in addition to any other rights and remedies, to
recover and withhold the amount of the cost incurred by the vendor or contractor in
providing such gratuities.
G. It shall be a breach of ethics for any employee or former employee of the City of Nederland
knowingly to use confidential information for actual or anticipated personal gain, or for
the actual or anticipated gain of any person.
H. There are times when, during the course of normal business, that it may be appropriate to
conduct business during meals. In such instances, the meal should be for a specific
business purpose. Employees should avoid frequent meals with the same supplier.

I. Employees who hold affiliations or represent professional organizations should not use
his/her position to persuade an individual or firm to provide a benefit to the organization.
J. No employee may use the purchasing power of the city to make purchases for personal,
private use.
K. City Employees cannot split the purchases of likes items into multiples requisitions to
circumvent the city’s purchasing policy.
L. Employees are responsible for finding the best quality for the goods and services to be
purchased at the least possible cost.
IV. PURCHASING GUIDELINES
A. PURCHASES UP TO $3,000
1. Purchases costing up to $3,000 may be made at the department level with approval from
the Department Head or designee.
2. Quotes are not required; however effort shall be made to obtain the best value for the City.
B. PURCHASES $3,001 UP TO $10,000
1. Purchases of $3,001 to $10,000 require approval from Department Head and the Finance
Director.
2. The department representative must complete a purchase order with three (3) quotes. The
PO must include all pertinent information.
3. The department representative must contact at least two (2) Historically Underutilized
Business (HUB) vendors on a rotating basis.
C. PURCHASES OF $10,001 UNDER $100,000
1. Purchases of $10,001 and under $100,000 require approval from Department Head,
Finance Director and City Manager.
2. The department representative must complete a purchase order with three (3) quotes. The
PO must include all pertinent information.
3. The department representative must contact at least two (2) Historically Underutilized
Business (HUB) vendors on a rotating basis.
D. PURCHASES OF $100,000 AND GREATER
1. Purchases must be accomplished through the formal request for bid, request for
qualification or request for proposal process with detailed written specifications. The
development of the written specifications will be prepared by the requesting department.

2. All purchases over $100,000 must be submitted to City Council for approval. This
includes any purchases exempt from the bidding procedure. The requesting department,
along with the City Manager and finance department, will make a consensus award
recommendation to the City Council. It is the responsibility of the requesting department
to present the request to City Council.
3. No purchase orders will be issued prior to City Council approval. City Council approval
date and item number must be noted on the purchase order along with all pertinent
information.
4. A copy of all fully executed contracts shall be forwarded to the finance department and
kept with the original purchase order.
E. HISTORICALLY UNDERUTILIZED BUSINESS (HUB)
11.. For expenditures over $3,000 but less than $100,000, the City must contact at least two
(2) Historically Underutilized Business (HUB) vendors on a rotating basis, based on
information provided by the comptroller pursuant to Chapter 2161, Government Code.
If the list fails to identify a historically underutilized business in the county in which the
municipality is situated, the municipality is exempt from this section.
2. Requesting department must show that they have taken steps to secure a Good Faith Effort
in soliciting HUB vendors. A very useful tool for locating HUB vendors is the Texas
Centralized Master Bidders List (CMBL), which is maintained by the state of Texas and
is comprised of a mailing list of vendors who are actively competing for state business
opportunities.

F. TECHNOLOGY RELATED PURCHASES
1. All computer equipment, software, printers, wireless cards, monitors, cell phones, GIS
related products or any items that will be used on the city network, or items related to the
telephone system or require access to the city network must be approved through the
Information Technology Staff Representative designated.
2. The requesting department will place the request for purchase with the IT Staff
Representative. The IT Staff Representative will coordinate the item to be purchased with
the IT Consultant to ensure proper bidding procedures are followed and the city is
receiving the lowest and best price. Then the IT Staff Representative working with the IT
Consultant will approve the purchase and create a requisition, if required.
3. It will be the responsibility of the requesting department to have the appropriate approvals
on the purchase order and then place the order in conjunction with the IT Representative.
G. STATE PURCHASING DEBARRED/DIVESTMENT STATUS LIST

S.B. 252 is a bill relating to government contracts with terrorists. The bill provides that: (1) a
governmental entity, including a city, may not enter into a governmental contract with a
company that is identified on a list prepared and maintained by the Texas Comptroller. The
comptroller list can be found at:

The City of Nederland prohibits conducting city business with vendors who are placed on
this list for the time specified.
H. FORMAL BID PROCEDURE FOR CITY DEPARTMENTS
1. State law requires that purchases of $100,000 or more utilize a process of competitive
sealed bids or proposals. The city may elect to make purchases in excess of $100,000
through legally established purchasing cooperatives that seek and award competitive bids
and/or proposals on behalf of participants in the cooperative.
2. The City Manager shall authorize the initiation of the bid process or purchase of the item
through a purchasing cooperative. In some situations, the City Manager may request that
the City Council authorize the bid process.
3. It is the responsibility of the requesting department to prepare the necessary bid
specifications and documents.
4. Bid notice dates and opening date shall be coordinated with the City Clerk to ensure
compliance with State statute and City Charter requirements. The City Clerk along with
the requesting department shall be responsible for the distribution of bid packets to
interested vendors.
5. Section 252.041 of Chapter 252 of the Local Government Code requires that the sealed
bid be advertised publicly with notice of the time and place at which the bids will be
publicly opened and read aloud. The public notice must be published at least once a
week for two (2) consecutive weeks in a newspaper published in the municipality. The
date of the first publications must be before the 14th day before the date set to publicly
open the bids. In accordance with Senate Bill 943 (2023), the newspaper must also post
the notice on its own website and on the Texas Press Association statewide public notice
portal. All bid notices will be posted through the City Clerk, to ensure they are posted
with the correct newspaper and for the correct period of time. The notice shall include
either a copy of the specifications detailing the requirements that must be met by the
goods or services intended to be purchased or information on how a bidder may obtain a
copy of the specifications.
a) Bids placed by vendors who have been declared irresponsible may be withdrawn
from consideration for a period of up to twelve months, and any previous contracts
entered into with such bidders may be declared void. These actions may be taken
only after a formal hearing of the evidence by the City Manager and designated

personnel. Failure of a vendor to comply with the terms and specifications of a
contract such as deviations from method of delivery, deleting of items, habitually
late deliveries, etc., may be considered irresponsible behavior. It is the duty of the
department head to notify the city manager regarding such situations. If a contract
is declared void, department heads will use one of the following options:
i. Re-advertise for bids
ii. Purchase items from the next approved qualified bidder
iii. In an emergency, purchase item on the open market with the
written approval of the City Manager.
b) Specifications will not be written which are considered “closed” or written
around one specific brand; however, brand names, catalog numbers, etc., may be
submitted as a guide to the vendor as to the type and quality of merchandise
required. The wording “as approved equal” will be added to these types of
specifications since the city has no desire to discriminate against any vendor’s
merchandise. All specifications should be written as to encourage competitive
bidding among vendors.
c) Local Government Code, Section 252.047 states, “If the contract is for the
construction of public works or for the purchase of materials, equipment, and
supplies, the municipality may let the contract on a lump-sum basis or unit price
basis as the city council determines. If the contract is let on a unit price basis, the
information furnished to bidders must specify the approximate quantity needed,
based on the best available information, but payment to the contractor must be based
on the actual quantity constructed or supplied”.
d) All formal sealed bids received, as a result of solicitation by the City, shall be
opened and read aloud publicly and thereafter subject to public inspection. The City
reserves the right to accept or reject all or any part of a bid and accept the offer
considered most advantageous to the City. All formal sealed bids and proposals and
informal written quotations received by the city procurement personnel and all other
informal telephone quotes written on any formal or informal city document shall be
retained by the City Manager’s office and Finance department in accordance with
the record retention schedule of the City.
e) Disqualification of a bidder/proposer: Pursuant to state law, the city may reject
any and all bids and/or reject a bid(s) on the basis that it is nonresponsive. In
addition, the city may disqualify a bidder where there is a reasonable belief that the
bidder might not be able to satisfactorily fulfill the contract or that past performance
by the bidder has left grounds for suspecting that the bidder might not perform. The
city will not take the act of disqualification lightly. The city may consider the safety

and financial records of bidders and proposers. The city shall not accept quotes,
bids, or proposals from vendors or firms under any debarment with the federal
and/or state governments; nor shall the city issue any PO to said vendors or firms.
I. COMPETITIVE BIDDING AND PROPOSALS
Invitations for Bid, Request for Proposals (RFP) and Request for Qualifications (RFQ) are
means for notifying the vendors that the government has specific requirements for goods
and/or services and that they are being offered an opportunity to fulfill those requirements.
1. Competitive bidding provides a means for the available vendors to compete with each
other to provide goods and/or services.
a) The purpose of the competitive bidding is to ensure that public monies are spent
properly, legally and that the best possible value is received for the money. It is also
to give qualified and responsible vendors a fair and equitable opportunity to do
business with the City.
J. LOCAL PREFERANCES
1. If two or more bidders have bids that are identical in nature and amount, with one bidder
being a resident of the city and the other bidder or bidders being non-residents, the City
must select the resident bidder.
2. If purchasing real property or personal property that is not affixed to real property and the
city receives one or more bids from a bidder whose principal place of business is in the
city and whose bid is within three percent (3%) of the lowest bid price received form a
bidder who is not a resident of the city, the city may enter into a contract with either the
lowest bidder or the bidder whose principal place of business is in the city; however, if
the city awards the contract to the resident bidder, the City Council must determine, in
writing, that the local city bidder offers the city the best combination of contract price and
additional economic development opportunities for the city created by the contract award,
including the employment of city residents of the local government and increased tax
revenues to the city.

3. For contracts less than $100,000, if the city receives one or more competitive bids or
quotations from a bidder whose principal place of business is in the city and whose bid is
within five percent (5%) of the lowest bid price received by the city from a bidder who is
not a resident of the city, the city may enter into a contract with the lowest bidder or the
bidder whose principal place of business is in the city if the City Council determines, in
writing, that the local bidder offers the city the best combination of contract price and
additional economic development opportunities for the city created by the contract award,
including the employment of city residents of the local government and increase tax
revenues to the city.
K. COOPERATIVE PURCHASING
Cooperative Purchasing is one of the ways that local governments can save time and money
in their purchasing programs. It occurs when two or more entities (state, federal or local
governments) coordinate some or all of their purchasing needs so that they can join in
purchases to the mutual benefit of all the entities concerned (e.g., fuel, radio equipment,
vehicles). A local government cooperative purchasing agreement must be developed and
approved by the City Council.
1. The benefits are:
a. Lower costs through increased volume.
b. Lower (shared) administrative costs.
c. Improved response from vendors.
d. Shared experience leading to better product specifications.
e. Better compliance with state statutes on purchasing.
2. There are several ways cooperative purchasing can be done:
a. Entering into a cooperative agreement with another government entity for a bid.
b. Two or more governments may join to purchase one or more goods/services jointly.
c. Buying from state contracts.
3. Purchasing through a third party.
4. Legal Constraints – There are different statutes for different types of government.
When purchasing cooperatively, the strictest statute should apply.
5. Interlocal Cooperation – State law authorizes the City to enter into cooperative
purchasing agreements with other jurisdictions (see Ch. 791, Texas Local Government
Code). In addition, state law authorizes the extension of state bids and contracts to
participating local governments under certain conditions. Depending on expenditure
levels, appropriate approvals are still required for this type of purchase.

L. SOLE SOURCE PURCHASES
Competitive bids cannot be obtained on items that are only available from one source.
1. The following are available from only one source and are exempt from bidding:
a. Items that are available from only one source because of patents, copyrights, secret
processes or natural monopolies;
b. Films, manuscripts, or books;
c. Electricity, gas, water, or other utility services;
d. Captive replacement parts or components for equipment;
e. Books, papers and other library materials for a public library that are available only
from the person holding exclusive distribution rights to the material.
2. Any items not listed that are considered sole source will need to be supported by the
following:
a. Statement on how the determination was made that the item(s) requested is/are
only available from one source. The statement must include why a functional
equivalent is not available from any other source.
b. Statement on company letterhead from vendor attesting to the fact that the item(s)
being requested is/are only available from that vendor.
c. Information concerning previous attempts to obtain competitive bids on the
items(s) requested.
d. Names of those contacted in an effort to find other sources.
3. Sole Source determination will need to be approved by the Finance Department
BEFORE purchase is made.
M. EMERGENCY PURCHASES
Emergency purchases are those needed to avoid interruption in city services or to protect
public health and safety. These purchases are exempt from competitive bidding.
1. Items purchased in case of public calamity to relieve the needs of the citizens or to
preserve City property.
2. Items to preserve or protect the public health or safety of the residents of the City.
3. Items necessary because of unforeseen damage to public property. This includes
damage which would stop the productivity of the department, or which would cause a
safety issue for the City or its citizens.
N. OTHER EXEMPTIONS FROM COMPETITIVE BIDDING
Certain items are exempt from competitive bidding. Texas Local Government Code
§252.022 provides the full list, but some of the most common include:

O. TAX EXEMPT STATUS
The City of Nederland is exempt from Federal, State, and Local taxes except in certain
prescribed cases. An exemption certificate is available from the Finance Department and
will be furnished to any of the City’s suppliers upon request.
The Finance Department will also be responsible for the issuance of the necessary
documentation to employees with purchasing authority to support the City’s exempt status.
However, it is the responsibility of each employee with purchasing authority to ensure that
the purchase price does not include exempt taxes. An employee MUST make every effort to
avoid paying exempt taxes.
P. BLANKET PURCHASE ORDER
1. A blanket purchase order will be issued for the contract’s full amount when the contract is
signed.
2. If the contract has several different invoices, the department will reference the purchase
order number on all the invoices and NOT complete a different purchase order for each
invoice.
3. A blanket purchase order may also be used for a department to set aside funding for the
fiscal year to purchase a specific item with one vendor, for example asphalt or uniforms.
This allows the department to set aside funds to purchase the one item over the fiscal year
without having to issue a new purchase order every time a purchase is made.
4. A blanket purchase order may not be used for purchases such as office supplies or
miscellaneous equipment from one vendor.

Q. CHANGE ORDER
State law says that any change in a contract may not be increased by more than 25% of the
original cost. (see Texas LGC 252.048). The original contract price may not be decreased
under this section by more than 25 percent without the consent of the contractor.
Any changes or amendments to quantities or price, additional charges or any other change
significant to the administration of the purchase order must be agreed upon by both the city
and the vendor in writing.
A change order shall not be issued until the Department Head determines that necessary
funds are budgeted and available and any increase or decrease conforms to state law.
R. IMPORTANT INFORMATION FOR DEPARTMENTS
1. The departments should plan their work so that “rush order” and emergencies will be held
to a minimum. The department shall avoid additional expenses for rush orders that are
due to poor planning.
2. Department Heads may not “split” desired purchases in order to circumvent formal bidding
requirements. Such action may subject the employee to disciplinary and/or criminal
action. Splitting desired purchases includes:
a. “Component purchases” – purchases of component parts of an item that in normal
purchasing practices would be purchases in one purchase.
b. “Separate purchases” – purchases, made separately, of items that in normal purchasing
practices would be purchased in one purchase.
c. “Sequential purchases” – purchases, made over a period of time, of items that in normal
purchasing practice would be purchases in one purchase.

The Texas Comptroller shall prepare and maintain, and make available to each governmental
entity, a list of companies known to have contract or provide supplies or services to a foreign
terrorist organization.
Emergency Purchase
A purchase of goods or services is so critical that an agency will suffer financial or operational
damage unless they are secured immediately.
Employee
A person employed by the city who is drawing a salary or wages directly from the city.

JOINT ELECTION AGREEMENT AND
ELECTION SERVICES CONTRACT
BETWEEN JEFFERSON COUNTY, TEXAS
AND
CITY OF NEDERLAND
This agreement made and entered into, by and between Jefferson County, Texas (“County”),
acting hereinafter by and under the authority granted to her by sections 31.091 & 31.092 of the
Texas Election Code, the County Election Officer, Roxanne Acosta-Hellberg, County Clerk
for Jefferson County, Texas, (hereinafter referred to as “County Election Officer”), and City of
Nederland (hereinafter referred to as “Political Subdivision”), acting herein by and through its
governing body regardless of the name assigned to such governing body (hereinafter collectively
referred to as “Parties”).
WHEREAS, Political Subdivision is required to conduct an election on May 2, 2026; and the
parties desire that the County Election Officer conduct the election for the Political Subdivision
and, possibly, other political subdivisions located, in whole or in part, in Jefferson County, Texas.
If other political subdivisions enter into a contract with the County for the purpose that the County
Election Officer will run the election for the other political subdivisions, or expressly joins in this
contract, Political Subdivision intends to reimburse Jefferson County, Texas the cost of running
such election as determined by the County Election Officer, or share the cost of running the
election with other political subdivisions based on the following terms and conditions.
THIS JOINT ELECTION AGREEMENT AND ELECTION SERVICES CONTRACT is made
this _____ day of ______________, 2025, by and between the Political Subdivision, and the
County, pursuant to Texas Election Code Section 31.092. The parties agree to enter into a Joint
Election Agreement and an election services contract with each other in accordance with Chapter
271 of the Texas Election Code and this Agreement. This Agreement is entered into in
consideration of the mutual covenants and promises hereinafter set out:
1. RECITALS. Political Subdivision is a political entity situated wholly or partially within
Jefferson County, Texas. Political Subdivision and County Election Officer have
determined that it is in the public interest of Jefferson County voters that the following
contract be made and entered into for the purpose of having County Election Officer
furnish to Political Subdivision certain election services and equipment needed by Political
Subdivision in connection with the holding of its May 2, 2026 Election. The County’s
voting equipment is to be used in this Election. The rental rate for the use of this election
equipment has been approved by the Commissioners Court for Jefferson County, Texas.

2. DUTIES AND SERVICES OF COUNTY ELECTION OFFICER. County Election
Officer shall be responsible for performing the following duties and shall furnish the
following services and equipment:
(a) Notify and coordinate presiding election judges, alternate judges, and all other election officials
required to administer this Election. The County will make emergency appointments of election
officials if necessary. Compensate all election workers for time worked at the approved hourly
rate by Commissioners Court.
(b) Arrange for poll worker training through a third party or conduct necessary training. Notify
all early voting and election day officials of the date, time and place thereof.
(c) Arrange for the use of early voting polling locations and election day polling locations. If
emergency replacement polling locations are needed, County Election Officer shall make
necessary alternate arrangements to locate another public place (or if unavailable, a private
building), and shall notify Political Subdivision as soon as possible. (See the early voting and
election day polling location sheets attached).
(d) Procure election kits and supplies and distribute to the precinct judges and early voting
deputies. Obtain from the Tax -Assessor /Voter Registrar lists of registered voters to be used in
conducting the election in conformity with the boundaries of Political Subdivision and the
election precincts established for the election. The Election Day list of registered voters shall be
arranged in alphabetical order.
(e) Prepare and test all electronic voting equipment; format ballot styles; secure audio; oversee
all equipment and voter registration database programming; and assure compliance with
equipment security requirements. Arrange for transport of equipment to and from polling
locations.
(f) Serve as Early Voting Clerk for this Joint Election; and also process, print, mail, and tabulate
ballots for any eligible voter, who applies for a ballot by mail including all eligible FPCA
applicants. Supervise the conduct of early voting in person and appoint sufficient personnel to
serve as deputy early voting clerks. Provide lists of early voters as provided by law if requested
by Political Subdivision.
(g) Publish legal notice of the date, time and place of the public logic and accuracy test. Prepare
test materials and conduct internal election testing, public logic and accuracy test, and tests of
tabulation equipment.
(h) Arrange for the early ballot board, signature verification committee, tabulation personnel, and
all equipment and supplies needed at central counting station. Tabulate early voting, election
night, paper mail ballots and provisional ballots. Tabulate unofficial returns and assist in
preparing the tabulation for the official canvass. Provide Political Subdivision its voter history
report following the election if requested.
(i) Serve as Custodian of Records for election records in County Election Officer’s custody and

provide for the retention of said election records as provided by law.
(j) Provide information services for voters and election officers.
(k) Maintain accurate records of all expenses incurred in connection with the responsibilities
under this Agreement and provide Political Subdivision a final invoice after the conduct of the
election. Provide any detailed backup to such invoice, if requested, reflecting the charges or
components of the costs set forth on the invoice submitted to Political Subdivision.
(l) The Contracting Office is responsible for collecting the compensations sheets for the election
judges, clerks, and early voting ballot board. The County Election Officer will also pay the
aforementioned for their services and time in accordance with their rate of pay policy.
(m) County Election Officer shall conduct a manual count as prescribed by Section 127.201 of
the Texas Election Code, unless waived by the Secretary of State. A written report shall be
submitted to the Secretary of State as required by Section 127.201(e) of the aforementioned
Election Code. If requested, County Election Officer shall provide a written report to Political
Subdivision in a timely manner.
(n) The County Election Officer shall place the funds paid by Political Subdivision hereunder in
a "contract fund" as prescribed by Section 31.100 of the Texas Election Code.
3. DUTIES AND SERVICES OF POLITICAL SUBDIVISION. Political Subdivision
shall be responsible for performing the following duties:
(a) Prepare all election orders, resolutions, notices, and other pertinent documents for adoption
and execution by the appropriate Political Subdivision officer or body. Take all actions necessary
for calling the Election for the Political Subdivision, which are required by the Texas Election
Code and/or the Political Subdivision’s governing body, charter, ordinances, or other applicable
laws. Execute an Election Services Contract with the County for the purpose of election
administration. Serve as Custodian of Records for all election records in its possession as
provided by law.
(b) Political Subdivision shall be responsible for the legal sufficiency of any order calling their
election. Political Subdivision shall be responsible for all substantive and procedural legal issues
governing the conduct of their election. Political Subdivision understands and agrees that County
Election Officer provides no legal advice to Political Subdivision.
(c) Political Subdivision shall adopt the early voting and election day vote center polling locations
used by the County. Political Subdivision shall adopt all early voting dates, and hours
recommended by the County Election Officer in accordance with the Texas Election Code.
Political Subdivision shall adopt the Election Day Vote Center polling locations for each county
voting precinct that is within its jurisdictional boundaries. Political Subdivision shall confirm
the accuracy of its jurisdictional boundaries and precincts.
(d) Prepare, post and publish all required election notices for Political Subdivision except for the

Public Test Notice that County Election Officer shall publish. In addition, if this election’s
polling locations are different than Political Subdivision’s previous election, Political
Subdivision shall post notice at the entrance to any previous polling places in its jurisdiction
stating that the location has changed and provide the polling location and address for those voters
for this election, pursuant to Texas Election Code Section 43.062, unless County has posted the
notice of the change for their election. Educate the voters in the Political Subdivision on early
voting and election day times, dates and polling locations.
(e) Political Subdivision shall confirm with Tax-Assessor/Voter Registrar its boundaries, county
voting precincts and street details within those boundaries. Political Subdivision will validate all
boundaries are defined properly within Jefferson County voter registration database, maps and
street lists with block ranges and odd/even/both indicators before the coding and programming
of the ballot begins. If changes are necessary after programming has begun, the Political
Subdivision responsible will incur the cost of re-programming for all entities involved. Political
Subdivision must proof and approve all programming work done for the jurisdiction according
to the Election Day Calendar published by the Secretary of State of Texas for the May 2, 2026
General Election, known as the SOS Election Day Calendar for May 2, 2026.
(f) Deliver to County Election Officer, according to the above-mentioned Election Day Calendar,
ballot language with Spanish translations, candidate names or measures, the order in which they
are to be printed on the ballot with the exact form and spelling. Provide pronunciation for
difficult names or words to use on the audio recording. Timely review and sign off on ballot
proofs.
(g) Any requests for early voting ballots to be voted by mail received by Political Subdivision
must be hand delivered or faxed to County Election Officer on the day of receipt. If the
application is faxed, the original application must be mailed to County Election Officer. County
Election Officer will process applications, mail appropriate ballots, and tabulate.
(h) If requested, assist County Election Officer in recruiting bilingual poll workers. Provide
documentation on Political Subdivision’s efforts to recruit bilingual poll workers if requested by
the U. S. Department of Justice.
(i) Pay prorated additional costs incurred by County Election Officer if a recount for said election
is required, the election is contested in any manner, or a runoff is required.
(j) Canvass the returns and declare the election results for Political Subdivision. Political
Subdivision is responsible for filing any precinct reports required by the Secretary of State.
(k) The deposit will be waived for this Election Agreement for all Political Subdivisions. All
costs will be assessed and a detailed bill will be rendered within a reasonable time after the
canvassing of the election or the receipt of all invoices needed to validate the billing. Any
discrepancies in billing should be addressed immediately.
(l) Political Subdivision agrees to enter into a Joint Election Agreement with any other political
subdivision in Jefferson County which enters into an Election Services Contract with the County

and which holds an election on May 2, 2026.
4. COST OF SERVICES. Political Subdivision shall share some expenses for the above
services, supplies and equipment. Additional elections may lower costs for each entity, and
election cancellations may raise costs for each entity. It is understood that other political entities
may wish to participate in the use of the County’s electronic voting equipment and polling
locations, and it is agreed that County Election Officer may enter into other contracts with entities
for those purposes on terms and conditions generally similar to those set forth in this Agreement.
Only the actual expenses directly attributable to this Agreement and any shared expenses may be
charged to Political Subdivision, plus a 10% administrative fee.
(a) Costs for early voting and election day may include: equipment delivery, supplies, mail
ballots, payroll, equipment leasing, and any additional costs, will be shared proportionally
between all political subdivisions which enter into a joint election agreement with County
according to the number of voting precincts within each political subdivision. (See the
Estimated Election Cost Sheet attached).
5. GENERAL CONDITIONS.
(a) The parties agree that the timing is critical on all duties in this Agreement. Lack of adherence
to any deadline in the Election Day Calendar without prior agreement of County Election Officer
may result in cancellation of County Election Officer’s duties and obligations to conduct Political
Subdivision’s election under this Agreement or, at the discretion of County Election Officer, a
late penalty surcharge in an amount not to exceed 10% of the final election cost but not less than
$75.00, in accordance with section 31.100(d) of the Texas Elections Code. Adherence to the
Secretary of State of Texas’ Election Day Calendar is critical because of the County’s obligation
to complete all programming and testing; to process, print and mail military and overseas ballots
by state/federal deadlines; the County’s duty to conduct federal, state, county elections; and/or
other contracted elections.
(b) In accordance with Section 31.098 of the Texas Election Code, County Election Officer is
authorized to contract with third persons for election services and supplies and is authorized to
hire necessary temporary personnel to perform contracted duties. Part-time personnel will be
compensated at the hourly rate set by the County.
(c) Political Subdivision acknowledges that electronic voting equipment is highly technical and
it is conceivable that, despite the best effort of the parties and technical assistance, it might fail
during the election. County Election Officer will do whatever is possible to remedy the situation,
but Political Subdivision agrees that should such equipment fail, it will not make any claim for
damages of any kind.
(d) Any qualified voter in the Joint Election may vote early by personal appearance at any of the
joint early voting locations or at any Vote Center/Polling Location on election day.
(e) The County Election Officer may contract with numerous political subdivisions for the Joint
Election, and the parties agree that all ballot styles will be programmed into one voting system.
Each voter will receive one ballot which contains all races and issues in the Joint Election for

which the voter is eligible at the address and in the precinct in which the voter is currently
registered. One joint voter sign in process consisting of a common list of registered voters and
common signature rosters shall be used in precincts in which the county polling locations are
used.
(f) The County Election Officer shall file copies of this Agreement with the Auditor and
Treasurer of Jefferson County not later than the 10th day from receipt of the fully executed
contract by County Election Officer.
(g) The County is self-insured for personal liability issues. Should Political Subdivision desire
insurance for injuries during this election or other liabilities, entity shall make such arrangements
separate from this Agreement.
(h) In the event that the performance by County Election Officer of any of its obligations
hereunder shall be interrupted or delayed by any occurrence not occasioned by its own conduct,
whether such occurrence be an act of God or the result of war, riot, civil commotion, sovereign
conduct, or the act or condition of any persons not a party thereof, then it shall be excused from
such performance for such period of time as is reasonably necessary after such occurrence to
remedy the effects thereof.
(i) The parties to this Agreement agree that Political Subdivision may cancel this Agreement in
the event that it has no need to conduct an election by 60th day before election day. If Political
Subdivision’s election is cancelled after deadline, a $200 contract preparation and processing fee
will be due in addition to any costs incurred by County Election Officer on behalf of Political
Subdivision prior to said cancellation.
(j) The Political Subdivision has the option of extending the terms of this Agreement through its
runoff election, if applicable. Political Subdivision may reduce the number of the adopted early
voting locations and/or election day voting locations in which precincts are not involved in a
runoff election. In the event of a runoff that Political Subdivision wants County Election Officer
to conduct, Political Subdivision, with input from the County Election Officer, agrees to
coordinate the date with other entities participating in this Joint Election. If Political Subdivision
elects to have County Election Officer conduct a runoff election, the cost will be determined by
the number of entities participating and the actual costs plus administrative fees. Political
Subdivision will be responsible for all orders, notices, and publications required for their runoff
except the publication of the public logic and accuracy test which County Election Officer will
publish.
6. DISPUTE RESOLUTION PROCEDURE
The parties agree to use dispute resolution process provided for in Chapter 2260 of the Texas
Government Code to attempt to resolve all disputes arising under this Agreement. Either party
must give written notice to the other party of a claim for breach of this Agreement not later than
the 180th day after the date of the event, giving rise to the claim. By their execution of their
Agreement, the parties acknowledge and knowingly and voluntarily agree that neither the
execution of this Agreement, nor the conduct, act or inaction by any person in the execution,

administration or performance of this Agreement constitutes or is intended to constitute a waiver
of the party’s immunity from suit with respect to claims of third parties.
7.ENTIRE AGREEMENT/AMENDMENT
This Agreement constitutes the entire agreement between City of Nederland and Jefferson
County, Texas. This Agreement may be amended only in writing and signed by the parties.
8.NOTICES
Except as otherwise provided in this section, all notices, consents, approvals, demands, request,
or other communications provided for or permitted to be given under any of the provisions of
this Agreement shall be in writing and shall be deemed to have duly given or served when
delivered by hand delivery or when deposited in the U.S. mail by registered or certified mail,
return receipt requested, postage prepaid, and addressed as set forth below or to such other person
or address as may be given in writing by either party to the other in accordance with this section:
