03-23-2026 Agenda with attachmentsNEDERLAND CITY COUNCIL AGENDA NOTICE is hereby given of a regular meeting of the Nederland City Council to be held Monday, March 23, 2026, 5:30 p.m., at the Nederland City Hall, 207 North 12th Street, Nederland, Texas, for the purpose of considering the following agenda items. The City Council reserves the right to retire into Executive Session concerning any of the agenda items whenever it is considered necessary and legally justified pursuant to Texas Government Code, Chapter 551. Members of the public can participate remotely via Zoom Teleconferencing. Citizens may join the Zoom Meeting by clicking on the Virtual Council Meeting https link on the City of Nederland’s website or calling the Zoom Call in Number and entering the Meeting ID# on the City of Nederland’s website. The City of Nederland's Council meeting will be live on the city's Facebook page (https://www.facebook.com/CityofNederlandTX) and the city's YouTube Channel (https://www.youtube.com/@CityofNederlandTX). PUBLIC COMMENT ON AGENDA ITEMS. Citizens may provide comments regarding the items listed on the Consent or Regular Agenda. Citizens will address the City Council from the podium after providing their name and address. Comments shall not exceed three minutes. 1.CALL THE MEETING TO ORDER 2.INVOCATION AND PLEDGES OF ALLEGIANCE 3.CITIZEN COMMENTS At this time, members of the audience may comment on any city-related subject not on the agenda. Anyone wishing to speak shall sign in before the meeting with their name and address. Comments are limited to three minutes unless otherwise allowed by City Council. The Texas Open Meetings Act prohibits the Council from discussing items not listed on the agenda. Attached are the February 2026 Departmental Reports for your review. c. The 2025-26 total adjusted tax levy is $8,628,965.97 and the amount of collections as of February 28, 2026 is $7,495,015.91 which represents 86.86% of the total tax levy. The 2025-2026 current year adjusted tax levy is $8,161,043.71 and the amount of collections as of February 28, 2026 is $7,486,440.43 which represents 91.73% of the current year tax levy. In comparison to prior year, the amount of property tax collected as of February 28, 2025 was $6,874,662.61 which represented 86.80% of the total tax levy and $6,821,160.20 of the current tax levy which represented 91.50%. I recommend acceptance of the February 2026 Tax Collection Report. MEETING The meeting was called to order at 5:30 p.m. by Mayor Darby at the Nederland City Office Building, 207 N. 12th Street, Nederland, Texas. See attached for quorum. INVOCATION AND PLEDGES OF ALLEGIANCE The invocation and Pledges of Allegiance were led by Mayor Pro Tem Ortiz. 3. CITIZEN COMMENTS Robbie Smith, 1620 Avenue H, addressed the council regarding his recent termination by the City of Nederland. Ray Herrera, 1140 Chicago, praised the police department for recovering his stolen bicycle. Jacqueline Toops, 613 North 14th Street, announced an upcoming CBA Appeals Board meeting on the 18th and encouraged citizen participation in various city boards and committees. Curtis Stratton, 703 South 12th Street, welcomed the new city manager and spoke in support of Robbie Smith. Jolei Shipley, 8765 Holmes Rd., discussed concerns about Planning and Zoning meeting notices, the need for online accessibility, missing agenda attachments, and the lack of a current master plan. 4. REGULAR AGENDA NEW BUSINESS a. Allen Nation, Executive Director of Adaptive Sports for Kids (ASK), gave an update on all the activities ASK has to offer and thanked the City for their continued support. Minutes continued, March 9, 2026 2 Opening Day will be on March 21st and he invited everyone to attend. He noted that last year they had 204 participants and have invested approximately $1.5 million in improvements to the Babe Ruth Field over five years. The organization provides year- round sports activities including baseball, soccer, bowling, basketball, and fishing tournaments. Athletes presented t-shirts to councilmembers and took pictures. No action was necessary. b. A motion was made by Councilmember Jones and seconded by Mayor Pro Tem Ortiz to approve a proclamation in regards to the American Red Cross. MOTION CARRIED. A motion was made by Councilmember Jones and seconded by Mayor Pro Tem Ortiz to approve the Minutes of February 23, 2026 regular meeting and February 19, 2026 special meeting. MOTION CARRIED. A motion was made by Councilmember Jones and seconded by Councilmember Duplant to approve the amendment to Ordinance No. 2025-08, adjusting the April 2026 council meeting dates from April 6th and 13th to April 6th and 20th due to election scheduling conflicts. MOTION CARRIED. AYES: Mayor Darby, Councilmembers Duplant, Jones, Sonnier, and Ortiz. NOES: None. ATTENDING VIA ZOOM: Councilmember Sonnier. e. Toby Latiolais, Parks Director, presented Ordinance No. 2026-03, establishing hours of operation, procedures, facility rental fees, pool rental passes, and fees for the recreation center and swimming pool. Latiolais explained several changes including shifting city programming times, addressing Sunday rental usage, and modifying various fee structures. A motion was made by Councilmember Sonnier to amend Ordinance No. 2026-03 to provide open swim on Sundays from noon to 4 PM, with party rentals from 4:30 to 6 PM and 6:30 to 8 PM and an additional Saturday rental slot to maintain overall rental capacity. MOTION CARRIED. AYES: Mayor Darby, Councilmembers Duplant, Sonnier, and Ortiz. NOES: Councilmember Jones. ATTENDING VIA ZOOM: Councilmember Sonnier. A motion was made by Mayor Pro Tem Ortiz and seconded by Councilmember Jones to approve Ordinance No. 2026-03 establishing the hours of operation, procedures, facility rental fees, pool rental/passes, and league fees for the Nederland Recreation Center and Nederland Swimming Pool. A motion was made by Councilmember Duplant and seconded by Mayor Pro Tem Ortiz to approve Resolution 2026-04, ratifying the action of the Nederland Economic Development Corporation Board of Directors related to the $27,500 incentive offered to Wicked Casian with a 2-year payback period. A motion was made by Councilmember Jones and seconded by Mayor Pro Tem Ortiz to approve a contract extension with Ceres Environmental Services, Inc. for debris removal and emergency response products, equipment and services from July 1, 2026 to June 30, 2029. A motion was made by Mayor Pro Tem Ortiz and seconded by Councilmember Jones to postpone Item 4.h – approving replat of 1111 Boston Avenue, until the April 6, 2026 meeting for legal review. Multiple citizens spoke on this item, including Jolei Shipley who raised concerns about lot size and building code compliance, and Jacqueline Toups who opposed the zero lot line configuration. i. A motion was made by Councilmember Jones and seconded by Mayor Pro Tem Ortiz to approve the replat of 2600 Highway 365 described as parts of Lot 3 and 4 of Block 14 Range H of PALCO to become Lots 1, 2, 3, and 4 of Mid-Jeff Plaza. An average of 2,624,000 gallons per day and a maximum of 3,054,000 gallons. A total of 20 bacteriological samples were taken to Sabine River Authority lab for analysis. All 20 passed. 40 distribution residuals were taken with an average of 3.35 mg/L. A total of 168 turbidity readings were taken with an average of 0.101 NTU and a maximum of 0.150 NTU. 95% of our monthly readings must be below 0.300 NTU. NTU: Nephelometric Turbidity Unit, a unit used to measure the turbidity of water, which is a measure of the cloudiness or haziness of the water caused by suspended particles (turbidity) mg/L: milligrams per liter SWTP: Surface Water Treatment Plant Sabine River Authority: TCEQ accredited lab used for our water samples Distribution System Chlorine residuals: Minimum required: Total: 0.5 mg/L Free: 0.2 mg/L Maximum 4.00 mg/L (based on a running annual average of all samples in the distribution system) Total coliform (TC): A group of closely related bacteria, mostly harmless, that live in soil, water, and the intestines of small animals. This group of bacteria includes fecal coliform bacteria and other non-fecal bacteria that are very common in the natural world. We’re making a couple of changes to incentives for the teens to try to get more teens involved with continuing to read over the summer. This year when a teen signs up for the summer reading program they will automatically receive Naglene transparent reusable water bottle. Then each week as they complete squares in their brochure they can get stickers and other items to decorate their bags. These are examples of the items we’ll be handing out to the teens. They can then pick from pre- made stickers we have in our “prize box” or they can design something. We’ll have some bottle charms they will be able to pick from as weekly prizes or we’ll make them a custom button from a photo they give the staff. Pickleball schedule is Tuesday, Thursday & Saturday from 10am-1pm. Wednesday evenings from 5pm-6pm for family/beginner play and 6pm-8pm for competition play. No Parks Advisory Board meeting this month. PAB meetings are held quarterly. The HOFNOD (Hooked on Fishing Not on Drugs) fishing derby took place on Saturday, February 7th with 190 kids registered. The Nederland Recreation center was open to the public February 16th on President’s Day. The Parks & Rec dept. partnered with the Library for “MMATP” at the Senior Center on February 17th with 5 kids attending and 4 adults. The Parks & Rec dept held Pickleball 101 on February 17th at the Nederland Rec Gym with 11 people attending. The Parks & Rec dept held “National Dog Biscuit Day” at the recreation center and handed out dog biscuits to families and their pets. The City of Nederland used the facility for 45 hours for City Training, 5 hours for staff meeting and 4 ½ hours for council meeting. Council will discuss and take possible action to approve an agreement with PGAL. c.Attached is proposed Resolution No. 2026-04, ratifying the action of the Nederland Economic Development Corporation’s Board of Directors in regard to an incentive offered to Wicked Casian (2111 Nederland Avenue, Ste B). At their February 18th meeting, the NEDC Board approved a $27,500 incentive with a 2-year payback. This is the second required reading of the Resolution; Mrs. DeCuir will be available to answer any questions that you might have. d.Attached is proposed Resolution 2026-05, which authorizes account representatives for the City’s Texpool Investment Account. The City has had an account with Texpool since 1997 and it is necessary to update the authorized signers to remove the outgoing Interim City Manager as an investment officer and add the new City Manager as an investment officer. Heather Stucker, Finance Director, will be available to answer any questions. I recommend approval of Resolution 2026-05. e.Attached is the proposed Interlocal Agreement between the City and the Nederland Independent School District regarding financial assistance for the summer recreation program. The summer recreation program provides a variety of activities, such as team sports, arts & crafts, and quiet games for elementary school and middle school students; the program helps to develop and improve physical skills, socialization skills, and ensures children remain active and mentally stimulated during the summer break. Prior to 1995, the City funded a similar program, but after that year, the City ceased funding the program. NISD operated and funded the program after this. In 2023, NISD began to request the City provide financial assistance for the summer rec program; in 2023 and 2024, the City Council authorized the assistance to not exceed $25,000 (NISD advised the City staff that the summer rec program costs approximately $50,000 to operate). The invoice for last year’s financial assistance was $18,560.01. I recommend approval of the Interlocal Agreement with funding not to exceed $25,000; this shall be paid via the Special Programs line-item (01-9000-6400). f.Attached is the resignation letter of Gary Tiner from the Civil Service Commission. Mr. Tiner tendered his resignation in January 2026 and submitted the written resignation on March 17, 2026 with effective date of January 1, 2026. Council will discuss appointing someone to the Civil Service Commission. g. Attached is the contract renewal from the YMCA for the 2026 season at the Nederland Swimming Pool. The YMCA has staffed the pool lifeguards for the past several seasons and this is a renewal based off the original RFP. The hourly charge ($27) is the same rate as the previous season, as well as the scope of services. Updated pool hours are also reflected in the contract. Attached is the contract extension with CrowderGulf for debris removal services, emergency response products, equipment and services (removal of debris after a storm and emergency products, equipment, and services, such as lights, generators, etc.). CrowderGulf has been providing the city debris removal services and products per the contract that commenced on July 1, 2024. The term of that contract was for two (2) years, with the option to extend one (1) three (3) year term at the sole discretion of the cities, not to exceed a total of sixty (60) months. WHEREAS, the City has the authority under Texas Government Code, Chapter 791 to contract with other local governments for government functions and services. The City is a “local government” as defined by Texas Government Code § 791.003(4)(A); the District is also a “local government” as defined by Texas Government Code § 791.003(4)(A); and, WHEREAS, the City of Nederland, by and through its City Council and the Nederland Independent School District, for the mutual benefit of the citizens they serve, desire to enter into an agreement to provide certain services to each other; and, WHEREAS, the City finds that the expenditure of public funds in support of the operations of the District accomplishes a valid public purpose; and WHEREAS, NISD requested financial assistance for NISD Summer Recreation Program; and WHEREAS, the City of Nederland previously funded a summer recreation program with the last financial support for this program in 2025. NOW, THEREFORE, IT IS AGREED that the City shall provide financial assistance for the NISD Summer Recreation Program under the following terms and conditions, and the parties hereto agree with said conditions: 1) TERM. The term begins on the day this Agreement is last executed by the Parties and continues until August 31, 2026 or until all services have been rendered, the funding under this Agreement is distributed and all audits and reviews of the expenditures of funding are completed by the City, unless terminated earlier under any provision of it. 2) DEFINITIONS. a. Summer Recreation Program includes a variety of activities such as team sports, arts & crafts, and quiet games; the goal of the program is to develop and improve physical skills, help develop socialization skills, and allow students to be active and mentally stimulated during the summer break. Elementary school students will attend the Program at Central Middle School, and Middle school students will attend the Program at Nederland High School. There is no cost for students to attend the Program. b. Eligible Expenditures means necessary Program expenditures to include salary and benefits, supplies, etc. c. Expense Documentation means complete, accurate itemized invoices, receipts for services, goods, or benefits, and other appropriate supporting documentation. d. Public Information Act means Texas Government Code, Chapter 552. e. Records means any invoices, receipts, and other appropriate supporting documentation, papers, reports, records, books, data, and other documents that are reasonably pertinent to the fulfillment of the requirements of this Agreement. 3) REPRESENTATIONS AND WARRANTIES OF DISTRICT. The District represents and warrants that the donated funds will be utilized for reimbursement of necessary expenditures incurred due to the Summer Recreation Program. The District represents and warrants that District does not intend to and will not use the donated funds being transferred to it to fill shortfalls in the District’s revenue to cover expenditures that would not otherwise qualify as an eligible expenditure. 4) DISTRICT’S SCOPE OF SERVCES AND OBLIGATIONS. a. The District shall allow inspection of all Expense Documentation and Records related to its expenditure of its donated funds under this Agreement upon reasonable request. The District shall pay City’s reasonable and necessary attorney’s fees and costs if City is required to undertake litigation against District to enforce the terms of this Agreement to the extent allowed by law. 5) SUPERVISION OF DONATED FUNDS. The City shall donate to the District in an aggregate amount up to $25,000.00 for the Summer Recreation Program if the District: a. Provides supporting documentation to show expenses incurred for the Summer Recreation Program; b. Complies with the reporting requirements in this Agreement on a timely basis; 6) REPORTING REQUIREMENTS AND ACCOUNTABILITY. a. Required Documentation. The District must submit complete, accurate Expense Documentation as required by the City, following the completion of the services or activity and disbursement of the funds related to them. b. Maintenance and Retention of Records. The District shall keep and maintain its Records that are reasonably pertinent to the fulfillment of the requirements of this Agreement in standard accounting form. c. Access to Records and Audit. The District grants City and any of its duly authorized representatives the right to timely and unrestricted access to any District Records that are pertinent to the fulfillment of the requirements of this Agreement, to perform audits, examinations, excerpts, transcripts, and to substantiate the provision of services under this Agreement. District shall furnish all Records to authorized City personnel, at reasonable times and within reasonable periods. This right also includes the right to timely and reasonable access to District’s personnel for the purpose of reviewing, interviewing, evaluating, monitoring and making copies of Records related to these audits and examinations. d. Requirement to Address Audit Findings. If any audit, monitoring, investigations, review of awards, or other compliance review reveals any discrepancies, inadequacies, or deficiencies which are necessary to correct in order to maintain compliance with this Interlocal Agreement, applicable laws, regulations, or the District’s obligations hereunder, District agrees to propose and submit to City a corrective action plan to correct such discrepancies or inadequacies within thirty calendar days after the District’s receipt of the findings. District’s corrective action plan is subject to the approval by the City. District understands and agrees that District must make every effort to address and resolve all outstanding issues, findings, or actions identified by the City through the corrective action plan or any other corrective plan. District agrees to complete any corrective action approved by City within the time period specified by City and to the satisfaction of City, at the sole cost of District. District shall provide to City periodic status reports regarding District’s resolution of any audit, corrective action plan, or other compliance activity for which District is responsible. 7) CONFIDENTIALITY. The Parties acknowledge that City and District are subject to the Texas Public Information Act. Despite any other provision, the Parties agree that if any provision of this Agreement, or other documents related to this Agreement, including any exhibit, attachment, amendment, addendum, or other incorporated document, is in conflict with the Public Information Act, that provision shall not have any force or effect. The Party that receives a Public Information Act request for documents related to this Agreement or any program undertaken pursuant to this Agreement shall handle that request. 8) GENERAL FISCAL TERMS AND CONDITIONS. a. Not to Exceed Amount. The District understands and agrees that the maximum total amount reimbursable for the services and funds distributed through the Summer Recreation Program under this Agreement shall not exceed the $25,000. City shall not pay for any services nor distribute any funds that would cause the amounts paid under this Agreement to exceed the Not to Exceed Amount. b. Prevention of Fraud and Abuse. The District shall establish, maintain and use internal management procedures sufficient to provide for the proper, effective management of all activities funded under this Agreement. District shall report any known or suspected incident of fraud or program abuse involving District/s employees or agents immediately to the City in writing. City and District agree that every person who, as part of their employment, receives, disburses, handles or has access to funds reimbursed pursuant to this Agreement does not participate in accounting or operating functions that would permit them to conceal accounting records and the misuse of said funds. 9) AMENDMENTS AND CHANGES IN THE LAW. a. A modification, amendment, novation, renewal or other alteration of this Agreement shall not be effective unless mutually agreed upon in writing, approved by City and executed by the Parties. b. Any alteration, addition or deletion to this Agreement which is required by changes in federal law, federal guidance, or state law are automatically incorporated into this Agreement without written amendment to it and are effective on the date designated by that law or guidance. c. The District may not assign its rights and duties under this Agreement. Any assignment attempted shall be null and void. 10) REMEDIES FOR NON-COMPLIANCE AND TERMINATION. If the City determines that the District materially fails to comply with any term of this Interlocal Agreement, the City, in its sole discretion may take actions including: • Disallowing or denying use of funds for all or part of the cost of the activity or action not in compliance; • Wholly or partially suspending or terminating this Interlocal Agreement; • Requiring return or offset of previous reimbursements; • Terminating this Interlocal Agreement; • Imposing a corrective action plan; • Taking other remedies or appropriate actions. a. Upon the occurrence of an Event of Default, the non-defaulting party shall deliver written notice of said default, in accordance with the notice provisions contained in this Agreement, specifying the specific Events of Default and the action necessary to cure such defaults. The defaulting party shall have fourteen (14) calendar days after receipt of the written notice to cure such default. If the defaulting party fails to cure the default within such cure period, or take steps reasonably calculated to cure such default, the non-defaulting party shall have the right, without further notice, to terminate this Agreement. b. Termination. At its option, the City may terminate this Agreement, in whole or part, with or without cause, by giving thirty (30) days prior written notice to District. The City’s termination of this Agreement shall not subject City to liability for any reason 11) NOTICE. a. Method. Any notice to be given under this Agreement is deemed to have been given if given in writing and delivered in person or mailed by overnight or Registered Mail, postage pre- paid, to the party who is to receive the notice at the addresses included herein. Such notice is deemed to have been given three (3) Working Days after the date it was delivered or mailed. b. Addresses for Notice. Severability. If any portion of this Agreement is ruled invalid or unenforceable by a court of competent jurisdiction, the remainder of the Agreement remains valid and enforceable. d. This Agreement including the Exhibits incorporated as a part of it are the entire agreement relating to the subject matter of it between the Parties and supersedes any other agreement about the subject matter of this transaction, whether oral or written, and except otherwise provided herein, this Agreement may not be modified. Each Party acknowledges that the other Party, or anyone acting on behalf of the other Party has not made any representations, inducements, promises or agreements, orally or otherwise, unless those representations, inducements, promises or agreements are stated in this Agreement, expressly or by incorporation. e. The District, including its employees, agents and licensees, is an independent contractor and not an agent, servant, joint venture or employee of City. District is responsible for its own acts, omissions, forbearance, negligence and deeds, and for those of its agents or employees in conjunction with the performance of services or disbursement of funds under this Agreement. District is specifically responsible for sufficient supervision and inspection to ensure compliance in every respect with the requirements of this Agreement. There shall be no contractual relationship between City and any subcontractor, agent, employee or supplier of District by virtue of this Agreement. 14) SIGNATURES AND EXHIBITS. This Agreement may be executed in duplicate originals and is effective when executed by both Parties. The persons signing this Agreement for the Parties represent and warrant that they are officers of entity for which they have executed this Agreement and that they have full and complete authority to enter into this Agreement on behalf of their respective entity and that their executions are the acts of the Parties involved and have been delivered and constitute legal, valid and binding obligations of the respective Parties. City of Nederland / YMCA of Southeast Texas Aquatic Management Proposal The YMCA shall hire, train staff and oversee the operation of the Pool(s) from May 11, 2026 ending on August 14, 2026. Recreational Swimming The YMCA shall oversee the operation of the City of Nederland swimming pool providing a minimum of three lifeguards throughout the effective dates of this service agreement and will maintain operations in accordance with all applicable local, state, and federal codes, certification regulations and requirements, Texas Public Pool Codes and Health and Safety Codes. A Certified Pool Operator and head lifeguard will be provided to oversee operations. Summer Swim Season: Tuesday, May 19 – Sunday, August 9, 2026 *Monday Closed Tuesday-Friday 12:00 pm -- 6:00 pm Saturday 11:00 am -- 4:00 pm Sunday 12:00 pm – 4:00 pm Pool Rentals are available ½ hour after pool closure each night. APPENDIX B Pool Cleanliness and Maintenance The YMCA will maintain the Pool, Pool deck and associated restrooms. The YMCA will provide for daily water chemistry including recording testing with a frequency of every two hours while the pool is open. YMCA staff will be responsible for the cleaning of the deck, the restrooms, and the pool. Many of these duties are to be done during normally scheduled hours of operation; however, there may be duties to be performed during times that the pool is not scheduled to be open. Task schedules below are all including, but not limited to: Daily Tasks Opening pool inspection/checklist Set out pool furniture Pool chemistry checks at a minimum of every two hours while the pool is open, but as frequently as needed to maintain appropriate chemical levels and in accordance with all sampling and testing required by local, state, and federal codes and digitally in a shared drive and available at all times. Restroom cleaning & disinfection Picking up deck trash / emptying garbage Locking up equipment at days end Inspecting slide & rock wall Closing pool inspection/checklist including fence perimeter check Locking and securing the facility for closing Turning in all incident forms, accident reports, entry payment and party payment information DAILY to the Parks Director or their designee. Chemical logs, daily opening and closing checklists, rock wall and slide opening and closing check lists, and weather logs will be accessible to the Parks Director via shared login to digital records stored in a shared drive. Weekly Tasks Vacuuming Deep cleaning deck Spring Pool Preparation -- Optional The preparation of the Pool and restroom facilities for the summer can be provided by the YMCA. The cost of this option is available at $27.00 per man-hour. Expenses related to restoring the swimming pool to full operation including equipment repairs and replacement, painting, plumbing, and lighting will be paid for by City of Nederland. These expenses will be approved in advance by the City of Nederland. Maintenance Repairs or replacements such as motor or pump, deck or liner, plumbing, lane lines, diving boards, ladders and furnishings will be the sole responsibility of City of Nederland. Chemicals will be purchased by the City of Nederland. Restroom Maintenance The YMCA will purchase consumable supplies (toilet paper, paper towels, soap) for the pool restrooms. Dispensers will be installed by the YMCA of Southeast Texas and will remain as property of the Nederland Parks & Recreation Department. Business Operations The YMCA utilizes a data management system called Daxko for business operations. This program allows the YMCA to track usage, receipt transactions (cash and credit), produce shift reports, and allows for online registration. Use of Daxko requires a stable internet connection to be provided by the City of Nederland. The YMCA will set the Nederland Pool as a location in Daxko Operations and all transactions will be reconciled daily and tracked by the YMCA Finance department in Daxko Accounting. The YMCA will only be collecting fees related to Swim Lessons. All other fees (daily fees, season passes, pool rentals, coolers, etc.) will be collected by the City of Nederland staff. Admission and Guest Fees Recognizing and recording attendance of City of Nederland members will be accomplished by the City of Nederland. The City of Nederland staff is responsible for admitting only City of Nederland residents and non-residents through the defined policy set forth. Fees paid by pool entry and private rentals will be collected by the City of Nederland. Collection and reconciliation are the responsibility of the City of Nederland. In further consideration, the YMCA shall be entitled to retain as its own property all fees collected for swimming lessons provided by the YMCA during the term of the agreement. The expense of swim lessons, including instructors and lifeguards for such activities, will be the sole responsibility of the YMCA. Additionally, the daily reports and chemical logs are kept digitally through Forms and Sheets. This ensures access to data, even remotely, and easy storage of information for future reference. This functionality also requires a requires a stable internet connection to be provided by the City of Nederland. YMCA staff will be asked to park in the adjacent lot during open hours to alleviate traffic in the parking lot in front of the swimming pool. The YMCA and the City of Nederland will both promote programming through print, social media, etc. for pool usage. The YMCA has been made aware and understands that the City of Nederland Parks & Recreation staff is not trained in lifeguarding or lifesaving, CPR, or First Aid and will not respond in any type of emergency. Pool Parties Pool parties will be arranged through the City of Nederland Parks & Recreation staff during normal operating office hours (Monday-Friday, 10:00am-5:00pm) until the pool is open for the regular season. Available party dates/times/and fees will be set up on a calendar/binder to capture registration information and accurate record keeping. After the pool is open for the regular season, registration for parties will be made at the pool during normal operating hours. Parties will only be available to patrons from the hours of 4:30 pm – 8:00 pm on Saturday and Sunday and from 6:30 pm – 8:00 pm Tuesday through Friday. City of Nederland will notify the YMCA of impending City sponsored events so that appropriate staff arrangements may be made. Swimming Lessons The YMCA will offer swimming lessons in two-week sessions beginning in June. The YMCA will offer four 2-week sessions with classes held on mornings the pool is open (Tuesday, Wednesday, Thursday, Friday – between 8:30am and 10:45am). Class schedule and the fee structure will be provided in April of 2026. Pool Closures The Pool may be closed at times for the following reasons. • Water clarity problems and fecal contamination to be corrected by the YMCA and City of Nederland staff in accordance with CDC guidelines and Texas Public Pool Code and all applicable Health and Safety Codes • Major filtration/disinfection malfunction • Events scheduled by City of Nederland -- allowing for adequate notification Inclement Weather Policy The Pool will be closed due to any inclement weather conditions that affect the safety of the patrons (i.e., thunder, lightning, tornadoes or heavy rain or wind effecting the visibility of the Pool bottom). The Pool manager will decide whether a weather closure is temporary or for the remainder of the day based on the severity of the conditions and the time of closure. If conditions clear the Pool may be re-opened. Equipment and Safety Inspections City of Nederland will provide all necessary safety, rescue equipment, and first aid supplies. The City of Nederland will provide a recent inspection of the facility to the YMCA. City of Nederland will provide operational phones. City of Nederland will provide all adjustments necessary to meet established City and State Health Code standards upon immediate notification from the YMCA in writing to the Parks Director. The YMCA will perform random inspections of equipment and its placement as well as risk management inspections. Replacement of missing equipment will be the responsibility of City of Nederland unless loss was the direct result of YMCA negligence. City Events The YMCA will provide lifeguard services for the following event dates. Summary of Services The YMCA agrees to provide the following summary of services for a fee: -- Provide American Red Cross certified lifeguards at all times of operation. Copies of certifications of all staff will be provided to the City of Nederland. -- Establish emergency procedures for pool and vicinity. -- Establish and enforce rules of conduct, insuring safety of all patrons and staff. --Provide daily and weekly routine maintenance including vacuuming, maintaining proper Pool chemistry, back washing of filters and routine maintenance of equipment. -- Lifeguards will clean and restock men's and women's restrooms and showers. -- Provide City of Nederland with a certificate of insurance naming City of Nederland as an “additional insured” on General Liability insurance coverage in the amount of $1,000,000 and Workmen's Compensation related to operation of swimming Pool and related work. The YMCA does not provide accident insurance for participants. -- Assist City of Nederland maintenance personnel with minor repairs to filtration equipment and plumbing. --All records related to the operations and oversite of the pool season will be provided to the City of Nederland and will become the property of the City of Nederland. CONDITIONS City of Nederland will provide the YMCA with the Pool and associated restroom facilities in good working order beginning May 1, 2026. The Pool and associated restroom facilities will be returned to City of Nederland in like condition on September 1, 2026. All furniture and safety equipment will be inventoried and stored properly. The YMCA assumes no responsibility, liability or exposure for the security or safety of any individual or group using the Pool during times other than those covered by the term and specified hours of operations listed in this Agreement, except the YMCA failing to lock and/or secure the subject premises. INDEMNIFICATION The YMCA agrees to INDEMNIFY, WAIVE SUBROGATION, HOLD HARMLESS AND DEFEND City of Nederland against claims for personal injury or property damage and related expenses to the extent caused by the negligence, fault, or other substandard conduct of the YMCA and those for whom it is responsible. The YMCA will NOT INDEMNIFY, WAIVE SUBROGATION, HOLD HARMLESS AND DEFEND City of Nederland against claims for personal injury or property damage and related expenses to the extent caused by negligence, fault, or substandard conduct of the City of Nederland and those for whom it is responsible. City of Nederland shall bear the full risk of any loss or damage to its equipment, facilities and all other property located in, on or around the Pool, except where resulting from the gross negligence or willful misconduct of the YMCA. City of Nederland hereby relieves the YMCA of any obligation whatsoever to protect or provide security for the property except as listed in the task section herein. A certificate of insurance from the YMCA underwriters will be provided upon prior to the start of this agreement. In addition, the YMCA will maintain at its own expense a Worker's Compensation Policy in the minimum amount necessary to comply with the requirements of the State of Texas. The YMCA of Southeast Texas will provide a performance bond in an amount equal to one year’s estimated cost of the contract. Provide a certification from a surety company indicating that it will provide such a bond before any operations are begun. Additionally, the YMCA will provide the following insurance prior to any operations: • Public Liability Insurance in the amount of $1,000,000 for each person and $1,000,000 for each occurrence • Property Damage Liability Insurance in the amount of $1,000,000 for each occurrence. Provide a certificate of insurance from an acceptable insurance company indicating such coverage. • Workman’s Compensation Insurance for staff. A waiver of subrogation in favor of the City shall be included. The YMCA shall name the City as an additional insured on insurance policies with respect to General Liability. The policies or duplicate originals must be filed with the City before any operations are begun. All insurance policies shall be endorsed to require the insurer to immediately notify the City of any material changes in the insurance coverage. WITNESS ETH WHEREAS, the parties entered into a certain Independent Contractor Agreement (the "Agreement") for Disaster Debris Monitoring Services on the 1st day of July 2024. WHEREAS, the parties agree to extend the term of the Agreement in accordance with the terms set forth below. NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties hereby agree as follows: 1. The parties agree to extend the term of the Agreement for debris monitoring services for a period of three (3) years, which shall be from the extension effective date to June 30, 2029. 2. This Extension shall be binding upon and inure to the benefit of the parties, their successors, and personal representatives. This document, including the original Agreement, is the entire agreement between the parties. All other terms and conditions of the original Agreement remain unchanged.
